5. Ordering, Pricing, and Payment Terms

5.1 Placing Orders

We reserve the right to refuse or cancel any order at our discretion, including orders that appear fraudulent or where items are unavailable.

This confirmation constitutes acknowledgment of receipt of your order, not necessarily acceptance. We reserve the right to cancel confirmed orders in cases of pricing errors, ingredient unavailability, or other unforeseen circumstances, in which case a full refund will be issued.

All prices displayed on our Site are in United States Dollars (USD) and are inclusive of any applicable menu pricing. Prices do not include applicable sales taxes, delivery fees, service fees, or gratuity unless expressly stated. Pricing is subject to change without prior notice. Any change in price will not affect orders already confirmed prior to the price change.

We make every effort to display accurate pricing on our Site; however, errors may occur. In the event a pricing error is identified after an order is placed, we will notify you and provide the option to confirm the order at the correct price or cancel the order for a full refund.

Delays may occur due to high order volume, traffic, weather conditions, or other factors beyond our reasonable control.

Green Lantern Pizza shall not be liable for failed deliveries resulting from inaccurate or incomplete address information provided by you. If a delivery cannot be completed due to circumstances attributable to you (e.g., no one present at the delivery address, incorrect address), you may not be entitled to a refund.

However, our food is prepared in kitchens that handle common allergens including, but not limited to, gluten, dairy, eggs, nuts, soy, shellfish, and others. • LOSS OF PROFITS, REVENUE, OR DATA;
• LOSS OF GOODWILL OR BUSINESS REPUTATION;
• COST OF SUBSTITUTE GOODS OR SERVICES;
• ANY PERSONAL INJURY OR PROPERTY DAMAGE OF ANY NATURE WHATSOEVER;
• ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR ANY PERSONAL OR FINANCIAL INFORMATION STORED THEREIN;
• ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR SITE;
• ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH OUR SITE.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF GREEN LANTERN PIZZA TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE ANY PORTION OF THE SITE OR SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO GREEN LANTERN PIZZA IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

The foregoing limitations of liability shall apply to the fullest extent permitted by law in the applicable jurisdiction. Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless Green Lantern Pizza and its owners, officers, directors, employees, agents, contractors, affiliates, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

Subject to the Dispute Resolution section below, you agree to submit to the exclusive personal jurisdiction of the state and federal courts located in the applicable jurisdiction of Green Lantern Pizza's principal place of business for the resolution of any disputes not subject to arbitration. You waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.

The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.

15. Dispute Resolution

15.1 Informal Resolution

We will attempt to resolve the dispute informally within thirty (30) days of receiving your notice. If we are unable to resolve the dispute informally within that period, either party may proceed to the formal dispute resolution process described below.

15.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Except for claims that qualify for small claims court, and except as otherwise provided herein, you and Green Lantern Pizza agree that any dispute, controversy, or claim arising out of or relating to these Terms, our services, or the breach, termination, or validity thereof, shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, as currently in effect. The arbitration shall be conducted in English and, where feasible, via telephone or video conference. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

15.3 Class Action Waiver

YOU AND GREEN LANTERN PIZZA EACH AGREE THAT ANY PROCEEDINGS TO RESOLVE DISPUTES WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN THROUGH ARBITRATION, YOU AND GREEN LANTERN PIZZA EACH WAIVE ANY RIGHT TO A JURY TRIAL.

15.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or confidential information.

16. Term and Termination

These Terms of Service are effective as of the date you first access or use our Site and shall remain in full force and effect unless and until terminated.

We may terminate or suspend your access to all or any part of our Site and services at any time, with or without cause, with or without notice, effective immediately. Reasons for termination may include, but are not limited to:

• Breach of any provision of these Terms;
• Conduct that we believe is harmful to other users, third parties, or our business interests;
• Fraudulent or illegal activity;
• Extended inactivity of your account;

In such events, we will make commercially reasonable efforts to notify affected customers and resume normal operations as soon as practicable.
